Notes

(1) Cloverleaf Holdings Limited is a company controlled by a trust, the beneficiaries of which are family members of Michael Fitzgerald (Chairman), excluding himself, his wife or his children. Cloverleaf has confirmed that it will continue to voluntarily comply with Zenergy‘s share dealing code on an ongoing basis and support Mr Fitzgerald as the Chairman of Zenergy. 769,600 of the Ordinary Shares held by Cloverleaf Holdings Limited are held subject to a call option agreement with certain of the management of Zenergy Power GmbH. In addition Cloverleaf Holdings Limited has warrants to subscribe for an additional 160,000 Ordinary shares at par (1p).

 

(2) AEGON hold 4,739,841 shares directly and 1,404,659 shares indirectly.

 

(3) Jane Capital Partners, LLC, is a company in which Mr Gibson‘s (Director of Zenergy Power, Inc.) spouse Jane Lindner is interested.
